You agree NOT to:

• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Spam or send unsolicited messages
• Scrape, crawl, or collect user data
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the platform
• Use the platform for any illegal or unauthorized purpose
• Post content that infringes intellectual property rights

3.1 Your Content

You retain ownership of content you post on VDX ("User Content"). By posting User Content, you grant VDX a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and improving our platform.

3.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to post your content and that it does not violate any laws or third-party rights.

3.3 Our Content

VDX and its licensors own all rights to the platform, including its design, features, and content (excluding User Content). You may not copy, modify, or create derivative works without our permission.

3.4 Content Moderation

We reserve the right to remove or modify any User Content that violates these Terms or that we deem inappropriate, without notice.

4.1 No Investment Advice

VDX is a platform for connecting investors and founders. We do not provide investment advice, recommendations, or financial planning services. All investment decisions are made at your own risk.

4.2 Due Diligence

You are solely responsible for conducting your own due diligence before making any investment decisions. VDX does not verify the accuracy of deal information posted by users.

4.3 Accredited Investors

Certain investment opportunities may be limited to accredited investors as defined by applicable securities laws. You are responsible for ensuring you meet all legal requirements before investing.

4.4 Compliance

All users must comply with applicable securities laws and regulations. VDX is not a registered broker-dealer or investment adviser.

5.1 Subscription Plans

VDX offers various subscription plans. By subscribing, you agree to pay the fees associated with your chosen plan.

5.2 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

5.3 Refunds

Subscription fees are non-refundable except as required by law or as expressly stated in our refund policy.

5.4 Price Changes

We reserve the right to change our pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

7.1 By You

You may terminate your account at any time by deleting it through your account settings.

7.2 By Us

We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or if we discontinue the platform.

7.3 Effect of Termination

Upon termination, your right to use VDX will immediately cease. We may delete your data as described in our Privacy Policy.

8.1 No Warranties

VDX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VDX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES.

8.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF VDX SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

11.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VDX regarding your use of the platform.

11.4 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
